The cloud-based brokerage has officially closed its $880M deal to buy the major franchisor as the industry’s consolidation wave accelerates.
The Real Brokerage today completed its planned acquisition of REMAX Holdings, uniting the 12-year-old cloud-based brokerage with a major global franchisor that has developed widespread brand recognition over the past five decades.
The latest: On Aug. 24, Real and REMAX said in filings with the U.S. Securities and Exchange Commission that the deal had met all customary closing conditions. These were the final hurdles the deal needed to clear, and both companies said last week that they expected the transaction to be completed early this week.
What Real’s CEO had to say: The closing of the acquisition “marks a significant milestone on our journey to build a technology platform that empowers real estate professionals and improves the consumer experience,” said Tamir Poleg, previously CEO of Real and now chairman and CEO of the new Real REMAX Group.
“Bringing together Real’s technology and operating model with REMAX’s global reach and franchise model is a transformational moment for the industry,” Poleg added. “Together, we are creating a more innovative, more productive and more connected real estate ecosystem that we believe will generate substantial long-term value for agents, franchisees, consumers and shareholders.”
Taking ‘uncertainty off the table’: In an Aug. 24 letter to employees, Poleg proactively answered a few questions about how the new company will operate.
“I want to take uncertainty off the table,” he wrote. For Real, the “brand, model, platform, commission structure, revenue share, and equity programs remain in place.”
For REMAX, the “brand, the balloon, and the independent broker/owner model are not going away,” he said, adding that REMAX’s franchise model will also continue. “More than 50 years of brand equity is an incredible asset, and we intend to make it even stronger — not disrupt it,” he wrote.
“If you are a REMAX agent or broker/owner, nothing about your business changed when you woke up this morning. If you are a Real agent, the same is true.”
How we got here: The real estate industry is in the midst of a consolidation wave, with several mergers and acquisitions announced over the past few years. This year began with the speedy closing of another major consolidation move when Compass completed its acquisition of Anywhere Real Estate in January.
Less than four months later, Real announced it had entered into an agreement to buy REMAX for $880 million. Federal antitrust regulators had cleared the deal by mid-July, the companies revealed in SEC filings, and shareholders of both companies voted in favor of the deal during meetings on Aug. 14. The Supreme Court of British Columbia had also greenlit the deal by Aug. 21.
What happens now: The combined company will operate as the Real REMAX Group. The company’s new ticker symbol will be REAX, with shares trading under the new name starting on Aug. 25.
When first announcing the deal, Real said the iconic REMAX brand and the name of Motto Mortgage, REMAX’s mortgage arm, will remain. The firms also previously said that the combined company is expected to have roughly 180,000 agents, nearly 8,500 franchisees and about $2.3 billion in annual revenue on a pro forma basis.
Company leadership structure: Poleg will lead the combined firm as CEO and Jenna Rozenblat, formerly chief operating officer at Real, will be the first president of Real REMAX Group. The company announced internally last week that Carlson will be stepping down from his CEO role, though he will have a seat on the new company’s board.
In an Aug. 24 6-K form, Real said that its board approved Poleg’s and Rozenblat’s new positions, as well as the following executive leadership appointments at Real REMAX Group:
-
Amy Somerville, COO. Somerville previously held several leadership positions in her 16 years at REMAX.
-
Ravi Jani, CFO. Jani was Real’s CFO since mid-2025.
-
Pritesh Damani, CTO. Damani was Real’s chief technology officer since late 2021.
-
Abigail Lee, CMO. Lee was named REMAX’s chief marketing officer earlier this year.
-
Alexandra Lumpkin, VP, chief legal officer and secretary. Lumpkin joined Real in early 2023 and served in the same capacity.
-
Leah Jenkins, chief accounting officer. Jenkins was REMAX’s chief accounting officer since mid-2023.
Additionally, the 6-K said that Rozenblat, Jani and Lumpkin have been appointed directors of the new company.
Chris Lim, who joined REMAX in early 2025 as chief growth officer and added the president title in February, will not be part of the new company. Travis Saxton, who has served as REMAX’s executive vice president of strategy since January 2025, is also leaving.
