Rambus Inc. (NASDAQ: RMBS) has launched a $100 million accelerated share repurchase program, signaling confidence in its financial position and long-term growth strategy as the semiconductor and silicon intellectual property company continues to invest in its business while returning capital to shareholders.
The company said it entered into an agreement with Mizuho Markets Americas LLC, acting through its agent Mizuho Securities USA LLC, to repurchase approximately $100 million of Rambus common stock. The accelerated share repurchase is expected to be completed by the end of the third quarter of 2026 and forms part of the broader share repurchase authorization previously approved by the company’s Board of Directors.
As part of the transaction, Rambus will make an upfront payment of $100 million to the dealer and initially receive approximately 796,000 shares of its common stock. The final number of shares repurchased will be determined based on the volume-weighted average price of Rambus shares during the program, less an agreed discount.
President and Chief Executive Officer Luc Seraphin said the move reflects the company’s confidence in its business fundamentals and disciplined approach to capital deployment. He noted that Rambus’ strong balance sheet and ongoing cash generation provide the flexibility to return capital to shareholders while continuing to invest in long-term growth initiatives.
Accelerated share repurchase programs allow companies to retire shares more quickly than traditional open-market buybacks, potentially reducing shares outstanding while providing greater certainty around the timing of capital returns. The structure also enables companies to continue executing broader capital allocation strategies without altering their long-term investment priorities.
The announcement comes as Rambus continues to expand its presence in high-performance computing markets, supplying chips and silicon intellectual property designed for data centers and AI infrastructure. The company’s technologies are focused on addressing data movement challenges between memory and processors, helping improve bandwidth, efficiency and security for increasingly data-intensive computing workloads.
